Licence terms for our Business Central apps

The end-user licence agreement (EULA) for the apps 365vanguard publishes on Microsoft AppSource.

Version 1.0 – 7 October 2026

1. Who these terms are between

These terms are an agreement between Vanguard 360 Solutions SRL (brand: 365vanguard; "we", "us"), Str. Theodor Neculuță nr. 18, 550057 Sibiu, Romania, Trade Register J2023001296324, CUI 48467206, and the organisation that installs or uses one of our apps ("you", "the customer").

They apply to every app published by 365vanguard for Microsoft Dynamics 365 Business Central and distributed through Microsoft AppSource, including E-Invoice, E-Transport, SAF-T, and the free supporting apps License Manager and RO Foundation ("the apps"). By installing or using an app, you accept these terms on behalf of your organisation. If you do not accept them, do not install the app, or uninstall it.

Where you have signed a separate agreement or accepted a written offer from us for an app, that document takes precedence over these terms where the two differ.

2. What the licence covers

We grant you a non-exclusive, non-transferable licence to use each app you have a trial or a paid subscription for, for your own internal business purposes, for as long as that trial or subscription is valid.

  • Per tenant. A licence belongs to one Microsoft Entra tenant (the tenant of your Business Central online subscription).
  • All environments. It covers every production and sandbox environment of that tenant, and every company in them, unless your plan states a limit.
  • Plans. Some apps may be offered in plans with different features or limits. The plan you ordered decides what is included.

3. What you may not do

  • Resell, sublicense, rent, lend or transfer an app or a licence to anyone else, or use it in another organisation's tenant. Our licences are not resellable and there is no reseller or partner licence.
  • Remove, disable, bypass or interfere with the licence check, the License Manager app, or the signed licence tokens.
  • Copy, modify, decompile or reverse-engineer an app, except where the law expressly allows it and cannot be excluded by contract.
  • Use an app in breach of the law or of Microsoft's terms for Business Central and AppSource.

4. Free trial

The first time a paid app is used in a tenant, a free trial starts automatically for that tenant. The trial is 30 days unless we tell you otherwise, covers all environments of the tenant, and is limited to one trial per tenant per app. The days left are shown in Business Central. We may extend a trial on request.

5. Subscription, renewal and payment

After the trial, continued use needs a paid subscription for your tenant. Subscriptions are ordered directly from us, not through Microsoft, for the term and price in our offer or order confirmation. We invoice you directly. Contact us for pricing. A subscription is renewed when we extend it for a new paid term; the new end date reaches your environments automatically at their next licence check-in.

6. Grace period and what happens at expiry

When a trial or subscription reaches its end date and has not been renewed:

  1. Grace period. The app keeps working for a grace period, normally 14 days. Users with administrator rights see a warning with the days left.
  2. Restricted. After the grace period, the app's own actions stop with a message explaining why. Your data stays in your Business Central and stays readable, and standard Business Central keeps working. We never delete or hide your data.
  3. Renewal. When you renew, the app works again from the next licence check-in. An administrator can choose Check now on the 365vanguard Licenses page to apply it at once.

The same grace period applies when License Manager cannot reach our License Service for a long time (for example because outbound HTTP requests are blocked): the last licence received stays valid for about a week, then the grace period starts. A sandbox environment that cannot reach the service is never restricted.

We may suspend or revoke a licence, with a message shown in the app, if invoices remain unpaid after reminders or if these terms are breached. A suspension can be lifted at any time once the reason is resolved.

7. The licence check-in

Every paid app depends on our free License Manager app, which Business Central installs automatically. About once a day it contacts our License Service at license-api.365vanguard.com to register the environment and receive a signed licence token for your tenant. It sends technical facts about the environment: tenant and environment identifiers, environment type and name, Business Central version and localisation, country, the 365vanguard apps installed and their versions, company names, a count of active users and the License Manager version. It sends no business documents and no personal data about your users.

For the check-in to work, outbound HTTP requests must be allowed for License Manager. Our apps also send technical telemetry to Microsoft Application Insights. Details, legal basis and retention are in our privacy policy.

8. Your data and the authorities

The apps run inside your Business Central and process your data there. Where an app exchanges data with the Romanian tax authority (ANAF), for example to send e-Factura invoices, e-Transport declarations or to check a VAT payer, the connection goes directly from your Business Central to ANAF. We do not receive that data.

You remain responsible for the content of the invoices, declarations and files you send or submit, for checking them before submission, and for meeting your own legal deadlines. The apps are tools, not tax or legal advice.

9. Updates

We release updates through Microsoft AppSource. Depending on your Business Central settings, Microsoft applies them automatically or you install them from the Extension Management page. We make reasonable efforts to adapt the apps when ANAF changes its specifications, but we cannot promise that an update will be available by a given date. We support the current version of each app.

10. Support

Support is provided by email and the other channels on our support page, in English and Romanian. Support covers the use and configuration of the apps. It does not cover changes to your own processes, data corrections, or custom development, which we can offer separately.

11. Intellectual property

The apps, their documentation and all related rights remain ours or our licensors'. You receive only the right to use them under these terms. If you send us suggestions, we may use them to improve the apps without obligation to you.

12. Services we do not control

The apps depend on Microsoft Dynamics 365 Business Central, Microsoft AppSource and, where relevant, ANAF's online services. Their availability, changes and terms are outside our control, and we are not responsible for interruptions or errors caused by them.

13. Warranty

To the extent permitted by law, the apps are provided "as is". We work carefully to keep them correct and in line with Romanian requirements, but we do not warrant that they will be free of errors, run without interruption, or suit every purpose. Free trials and free apps (License Manager, RO Foundation) are provided without any warranty.

14. Limitation of liability

To the extent permitted by law, we are not liable for indirect or consequential loss, including lost profits, lost revenue, lost data, or fines and penalties resulting from late or incorrect submissions. Our total liability for all claims relating to an app is limited to the amount you paid us for that app in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law, including for intent or gross negligence.

15. Ending the licence

You can stop using an app at any time by uninstalling it; fees already paid are not refunded unless we agree otherwise. We may end a licence if you seriously breach these terms and do not remedy the breach after notice. When a licence ends, the app's own actions stop as described in section 6, and your data remains in your Business Central. Sections 3, 8, 11, 13, 14 and 16 continue to apply after the licence ends.

16. Governing law and changes

These terms are governed by Romanian law. Disputes that cannot be settled amicably go to the competent courts in Romania.

We may update these terms. The version and date at the top of this page show the current text. Material changes apply from your next renewal, unless the law or a change by Microsoft or ANAF requires otherwise.
